Should I sign NDA?

Hi!

 

I'v been talking with a client and she gave me and NDA to sign and revert back to her. Then, she will create the contract. I don't understand the language of the NDA.

Can i share the file here with someone?

Please let me know if there are any clauses that might be problematic.

 Why would you have an issue giving your date of birth, as long as you are truthful? Clearly you wouldn't want to lie on a legal document, would you?

I can suggest you to consult with a local specialist regarding your questions about signing the NDA. If the NDA is on another language you can ask your client if they have an English version that they can share with you. Thank you.

I need to know about signing nda subject 

I sign NDA from time to time for projects. Make sure to read the information over well and if you feel not comfortable sharing a personal information don't be afraid to say 'I don't want to share that'.

I had a recent client who wanted my address for the NDA, I kindly told her I can't provide that as is my personal address and she understood. 

Usually should only require your name, date and signature.

I am not a lawyer, but NDAs are common in my line of work, so I don't have a problem with signing one as long as its specifics makes sense for the client's project and I understand and agree to ALL of its provisions.

 

But I have never seen an NDA that required either the client's or the freelancer's date of birth. It's possible the client wants to confirm you are old enough to sign a legal document, but I suggest you strike through that element and explain to the client that you know DOB is a key factor that allows misuse of your identity and you do not provide it to any clients (or whatever reason you don't want to provide it).

 

Lawyers often make NDAs unnecessarily complex. And low budget/inexperienced clients often off pull a random NDA template off the Internet and don't bother making it relevant to the work you are going to do for them. If any portion of the NDA doesn't fit your work for the client, strike it out and initial that section. And add any element that is important to you.

 

Yasir, I agree with the information that has been shared with you.  Regarding any legal document it's always safest to consult an attorney.

 

I'm not an attorney (but have been told numerous times throughout my life I should have been; that's another story).  I'll add that from my own personal experiences there are NDA's that aren't even worth the paper they're written on and aren't even enforceable. Sometimes they're used as a scare tactic in hoping that the terms of the so-called agreement aren't violated.
